Terms & Conditions

These Terms & Conditions ("Terms") form a binding agreement between you and Cagenda ("Cagenda", "we", "us") and govern your access to and use of the Cagenda café and restaurant operating system (the "Service"). By creating an account or continuing to use the Service, you agree to these Terms.

1. The Service

Cagenda provides a cloud-based platform for point-of-sale, guest QR ordering, menu and table management, inventory, shifts, receipts, and finance.

2. Eligibility and accounts

You must be of legal age and, where you accept these Terms on behalf of a business, have authority to bind that business. You are responsible for keeping your credentials confidential and for all activity under your account. You agree to provide accurate information and keep it up to date.

3. Acceptable use

You must not misuse the Service. In particular, you must not (a) use the Service unlawfully, (b) engage in fraud or send spam, (c) infringe intellectual property or other rights, or (d) interfere with security or integrity, including by introducing malware, probing, scanning, scraping, or attempting unauthorised access.

4. Intellectual property

The Service, including software, documentation, and branding, is owned by Cagenda and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within the plan you subscribe to. You may not reverse engineer, resell, redistribute, or circumvent technical limits.

5. Your content

You retain rights to the content you submit. You grant Cagenda a limited licence to host and process that content solely to provide and improve the Service.

6. Payments and subscriptions

Subscriptions, billing, taxes, cancellations, and refunds are governed by the Paddle Checkout Buyer Terms, available at paddle.com/legal/checkout-buyer-terms. Subscriptions renew automatically for the selected term until cancelled. Fees are charged in advance.

7. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

8. Service availability

We strive to keep the Service available but do not guarantee uninterrupted or error-free performance. The Service is provided "as is" and, to the maximum extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. You may cancel at any time. Upon termination, your right to use the Service ends; we will provide a reasonable export window before deletion of data, subject to legal retention obligations.

10. Liability

To the maximum extent permitted by law, Cagenda's aggregate liability under these Terms is limited to the fees you paid for the Service in the twelve months preceding the claim. We are not liable for indirect, consequential, or special damages including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law.

11. Indemnity

You agree to indemnify Cagenda against third-party claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

12. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Cagenda is established, without regard to conflict-of-law principles. Disputes are subject to the exclusive jurisdiction of the competent courts of that jurisdiction.

14. Assignment and force majeure

You may not assign these Terms without our consent. We may assign in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond reasonable control.
